From my experience, I set up an SPV and issued asset-backed tokens; in the US I used Reg D/S exemptions; EU is moving to MiCA.

Working on tokenising a commercial property taught me the model: form an SPV to own the asset, mint security tokens that mirror equity or debt, and run a compliant private placement. In the US we relied on Securities Act exemptions (Reg D 506(c), Reg S for offshore) with a PPM and KYC/AML; in the EU we align to MiCA/prospectus rules. Legal framing shapes the token design and custody.
